Welcome to Myrano LLC. By accessing our website or engaging our professional services (including custom ERP development, cloud deployment, and API integration), you agree to be bound by the following Terms of Service.

1. Scope of Services

Myrano LLC provides Business-to-Business (B2B) technical development, systems integration, and multi-cloud infrastructure consulting.

Important Clarification: Myrano LLC is strictly a software development and technology integration provider. We do not operate e-commerce platforms, manage payment processing funds, or act as a logistics/customs broker. All third-party integrations (e.g., Stripe, PayPal, customs APIs) are configured on behalf of the client, and the client retains full operational liability.

2. Client Responsibilities

Clients are responsible for providing accurate specifications, timely feedback, and securing lawful credentials or API keys required for third-party system integrations (including payment gateways and customs systems).

3. Intellectual Property

Unless otherwise agreed upon in a specific Statement of Work (SOW), all custom code, architectures, and system designs developed by Myrano LLC shall remain the intellectual property of Myrano LLC until full payment for the respective project milestone is received, upon which ownership rights transfer to the client.

4. Limitation of Liability

To the maximum extent permitted by law, Myrano LLC shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, data, or business interruption) arising out of the deployment, use, or inability to use our software solutions.

5. Governing Law and Jurisdiction

These Terms of Service shall be governed by the laws of the State of Wyoming, USA. Any legal action or proceeding relating to your access to, or use of, the site or services shall be instituted in a state or federal court in Wyoming.

At Myrano LLC, we deliver highly customized enterprise software engineering, cloud architecture setup, and system integration services. Because our services involve dedicated engineering hours and bespoke development, we strictly enforce the following Refund and Cancellation Policy.

1. Milestone-Based Engagements

All primary projects are executed based on a signed Statement of Work (SOW) with clearly defined project phases and milestones.

• Invoicing & Retainers: Initial deposits or milestone-specific payments are required before engineering work begins on that specific phase.

2. No-Refund Policy on Completed Work

Once work has commenced on a project phase or milestone, payments allocated to that milestone are 100% non-refundable. Myrano LLC does not issue refunds for engineering hours already spent, customized software components already built, or cloud infrastructure already provisioned.

3. Project Cancellation Protocol

Either party may request to cancel a project engagement by providing written notice. In the event of a cancellation:

• The client will be billed for all un-invoiced engineering hours and work completed up to the date of formal cancellation notice.
• Any pre-paid funds for milestones that have not yet started will be returned to the client, minus a 15% administrative termination fee.
• All source code, deployment scripts, and architectural designs completed up to the cancellation date will be handed over to the client only after all outstanding balances are paid in full.

4. Subscription & Support Services

Monthly support retainer contracts, cloud monitoring services, or SaaS-related fees require a 30-day written notice prior to the next billing cycle for cancellation. No partial or prorated refunds are provided for mid-month cancellations.
